DELIVERY TERMS AND CONDITIONS

Restaurant Services Equipment

1. Scope of Application

These terms and conditions apply to deliveries and collections of products sold by Restaurant Services Equipment.

They apply to both business customers and private customers, hereinafter referred to as “consumers”.

Certain provisions differ depending on whether the customer is a business customer or a consumer. Where necessary, the rules applicable to each category are specified in the text.

These terms and conditions supplement the general terms and conditions of sale of Restaurant Services Equipment. In the event of any conflict, the applicable mandatory legal provisions shall prevail.

2. Definitions

Business day: A day from Monday to Friday, excluding public holidays in France.

Standard parcel: A shipment of goods that can be handled by a parcel carrier, subject to the weight, dimensions and destination limits authorised by the selected service.

Heavy or bulky product: A product whose weight, dimensions, packaging or handling requirements necessitate specialised transport, including transport by truck, on a pallet, or by air or sea freight.

Customer: Any natural person or legal entity placing an order with Restaurant Services Equipment.

Express service: An accelerated transport service offered within the geographical areas covered, subject to the conditions specified in Section 3.

Dispatch times and delivery times are distinguished. The dispatch time is the period required before the goods are handed over to the carrier. The delivery time is the period required for transportation to the recipient.

3. Express Service: Delivery Within Three Hours

Restaurant Services Equipment offers an express service allowing delivery within three hours of actual receipt of payment, where transport conditions permit.

The three-hour period constitutes a commitment for any express order accepted and confirmed by Restaurant Services Equipment, within the limits of the agreed service. Only an event of force majeure meeting the applicable legal requirements may justify an exception to this commitment.

3.1 Geographical Areas Covered

The express service is available in the following areas:

  • Paris within the city limits (Paris intramuros).

  • The Île-de-France region.

  • A 10 km strip beyond the boundaries of the Île-de-France region.

  • A radius of 150 km around Honfleur.

The feasibility of delivery is assessed according to the recipient’s exact address and the characteristics of the product.

3.2 Eligible Products

The express service covers transportable products weighing up to 120 kg, subject to their dimensions, packaging, nature and handling requirements.

Transport may be carried out by road vehicle and, where necessary, using suitable packaging or palletisation.

Before confirming the order, Restaurant Services Equipment checks whether the product is compatible with the requested express service.

3.3 Departure Times and Surcharges

Express service departures are generally arranged between 8:00 a.m. and 5:00 p.m.

A surcharge may apply to departures arranged after 5:00 p.m., as well as to services performed on Saturdays, Sundays or public holidays.

Any applicable surcharge will be communicated to the customer before delivery and must be accepted before the relevant service is confirmed.

3.4 Receipt and Unloading

The recipient must provide the personnel and equipment necessary to receive and unload the goods, particularly when the product is heavy, bulky or delivered on a pallet.

Restaurant Services Equipment does not systematically provide unloading at the recipient’s premises and does not guarantee the presence of its own personnel at the delivery location.

Before placing an order, the customer must report any access difficulties, absence of a loading dock, need for a tail lift, presence of stairs or other constraints that may affect delivery.

3.5 Compliance with the Express Delivery Time

If the three-hour deadline is not met for a confirmed express service, the surcharge charged for the express service will be refunded, except in the event of force majeure meeting the applicable legal requirements.

This provision does not limit any rights granted to consumers under the mandatory provisions of the French Consumer Code.

4. Deliveries Within France

4.1 Mainland France

For standard parcels, dispatch is scheduled for the day after actual receipt of payment, subject to dispatch days, product availability and logistical constraints.

For heavy or bulky products, particularly those weighing more than 30 kg, the dispatch date depends on the selected carrier, the characteristics of the equipment, its packaging and the arrangements for collection by the carrier.

The transit time after dispatch depends on the carrier and the selected service. It will be communicated to the customer when it can be determined.

4.2 Corsica, Islands and Overseas Territories

Deliveries to Corsica, islands, French overseas departments and regions (DROM) and French overseas collectivities (COM) may require additional time and incur additional charges.

These factors depend on the destination, the available transport service, any transfers between transport services and the applicable formalities.

The estimated delivery time and corresponding charges will be specified in the quotation or order confirmation, insofar as they can be determined before dispatch.

5. Deliveries Within Europe and Internationally

5.1 Europe

For standard parcels, transport conditions depend on the selected service, the destination and the weight and dimensional limits imposed by the carrier.

For heavy or bulky products, a customised transport quotation will be prepared. Charges and delivery times depend in particular on the destination country, weight, dimensions, packaging and any necessary formalities.

5.2 International Shipments

Restaurant Services Equipment may arrange international shipments by road, air or sea, depending on the destination and the nature of the goods.

All shipments remain subject to the availability of transport services, applicable import and export regulations, and any legal or regulatory restrictions in force.

Restaurant Services Equipment will not arrange shipments prohibited by an embargo, an applicable sanction or any other legal restriction.

5.3 Customs Duties, Taxes and Formalities

Customs duties, import taxes and clearance fees applicable in the destination country are not included in the sale price unless expressly stated otherwise in the quotation or invoice.

Where these charges are payable by the recipient, they shall remain the recipient’s responsibility.

Before placing an order, the customer is responsible for checking the import requirements, any necessary authorisations and the tax obligations applicable in the destination country.

6. Delivery of Standard Parcels

Restaurant Services Equipment may use carriers such as Colissimo and Mondial Relay for parcels that comply with the conditions imposed by these carriers.

Weight limits, permitted dimensions, destinations served and delivery times depend on the service actually available at the time of dispatch. Carrier conditions may change.

6.1 Mondial Relay

Mondial Relay deliveries may be made to a Point Relais® collection point or a Locker, where these services are available for the relevant destination and parcel.

The maximum weight may be up to 30 kg, depending on the destination and the service offered. Some destinations may be subject to lower limits.

Parcel dimensions must comply with the limits of the selected service. The availability of Point Relais® collection points and Lockers depends on the destination.

The delivery time will be communicated or estimated based on information provided by the carrier. It remains subject to transit conditions and logistical constraints.

6.2 Colissimo

Colissimo may be used for home deliveries or deliveries to collection points in France and internationally, depending on the services available.

The maximum weight may be up to 30 kg for certain destinations, particularly within France and to several European countries. Different limits may apply to international destinations.

Delivery times and conditions depend on the country, the selected service and the carrier’s applicable rules.

A separate express service may be offered upon request where the destination and product permit. Its price will be communicated before confirmation.

6.3 Products Exceeding Standard Parcel Limits

Products exceeding the weight or dimensional limits of standard parcel services, particularly heavy or bulky equipment, will be assigned a suitable transport solution.

The relevant charges and arrangements will then be determined through a specific quotation.

7. Delivery of Heavy, Bulky and Palletised Products

Heavy or bulky products are dispatched using a transport solution suited to their characteristics and destination. Transport may be by road, air or sea, depending on feasibility and the requirements of the order.

For products weighing more than 30 kg, the dispatch time is determined according to the carrier, packaging and logistical constraints.

Before dispatch, Restaurant Services Equipment will provide the customer with a transport quotation detailing the identified charges and delivery arrangements.

If the proposed solution is unsuitable for the customer, the customer may request that transport be arranged using their own carrier, subject to the arrangements set out in Section 8.

7.1 Carriers and Logistics Solutions

For heavy goods, pallets and shipments requiring specialised transport, available solutions may include:

  • Air freight through Air France KLM Martinair Cargo, subject to acceptance of the goods and service availability.

  • Sea freight carriers and freight service providers operating to or from the port of Le Havre.

  • Sea freight carriers and logistics providers operating via Antwerp, Belgium.

  • Road haulage companies specialising in heavy, bulky or palletised goods.

The choice of provider depends on the destination, weight, dimensions, type of equipment, cost and transport availability.

The mention of these carriers and logistics solutions does not mean that each is available for every destination or every type of goods.

7.2 Delivery Arrangements

The specific delivery conditions will be stated in the quotation or order confirmation.

Unless otherwise agreed in writing:

  • Delivery will be made to the agreed address, in accordance with the carrier’s terms and conditions.

  • The customer must report any access restrictions, including upper floors, narrow streets, restricted delivery hours, absence of a loading dock or the need for a tail lift.

  • Delivery may be arranged by appointment.

  • The customer must be present or represented to receive the goods.

  • Unloading and positioning the equipment are the customer’s responsibility.

  • Installation and commissioning are not included unless separately agreed in writing.

Restaurant Services Equipment may assist with loading where necessary and physically possible. Such assistance depends on the nature of the equipment, the resources available and safety requirements. It does not constitute a standard handling service.

Restaurant Services Equipment does not unload goods at the recipient’s premises.

If delivery cannot be completed because the recipient is absent, access is impossible or an undisclosed restriction prevents delivery, additional charges for redelivery or waiting time may be invoiced if imposed by the carrier and attributable to the circumstances.

For used or demonstration equipment, the dispatch date also takes into account any necessary preparation work. The expected date will be communicated to the customer.

8. Collection of Products by the Customer or Their Carrier

The customer may collect the products personally or appoint a carrier of their choice, subject to prior arrangements with Restaurant Services Equipment.

8.1 Conditions to Be Met

For any collection, the customer must:

  1. Agree on the desired collection date in advance.

  2. Provide the name of the carrier, where applicable.

  3. Supply or arrange for the preparation of a complete and compliant transport document.

  4. Provide a collection time window.

  5. Arrange suitable transport, packaging and handling equipment, including pallets, trolleys and securing straps.

  6. Ensure that the carrier has the equipment required to collect the goods.

  7. Check that the applicable insurance covers loading and transport operations.

Collection may only take place after full payment of the order and confirmation of the practical arrangements by Restaurant Services Equipment.

8.2 Loading

The carrier is responsible for organising the transport and securing the goods as part of its service.

Restaurant Services Equipment may assist with loading where necessary and physically possible, taking into account the equipment, available resources and safety requirements.

Such assistance does not mean that Restaurant Services Equipment systematically assumes responsibility for handling, securing or transporting the goods. Each party’s responsibilities must be assessed according to the operations actually performed and the agreements concluded.

The customer or their carrier must provide the equipment necessary to collect and transport the goods safely.

8.3 Documents for Intra-Community Transactions

Where a business customer collects products in France for transport to another Member State of the European Union as part of a transaction potentially eligible for VAT exemption, the customer must provide the documents and supporting evidence necessary to verify compliance with the applicable tax conditions.

Such supporting documents may include:

  • A valid intra-Community VAT number, where required.

  • Transport documents establishing that the goods have left French territory, such as a CMR consignment note where relevant.

  • Any other supporting evidence required to apply the relevant VAT regime.

The tax treatment depends on the nature of the transaction and the applicable legal requirements. If the required supporting documents are not provided, French VAT may be charged where required by law.

8.4 Delayed or Missed Collection

If collection does not take place on the agreed date, the customer must contact Restaurant Services Equipment to arrange a new date.

Storage or rearrangement charges may be applied where their basis and terms have been communicated to the customer in advance and their invoicing is legally justified.

9. Delivery Charges

Delivery charges are stated in the quotation, order summary or order confirmation.

The price may vary according to:

  • The weight and dimensions of the equipment.

  • The nature and fragility of the product.

  • The type of packaging required.

  • The destination.

  • The carrier and service selected.

  • Any special handling or transport operations.

  • Any insurance, customs or administrative charges.

  • Time-related constraints, particularly for express services.

Special packaging and insurance costs are included in the sale price only where expressly stated. Any known additional charges will be communicated to the customer before confirmation of the relevant service.

The three-hour express service is charged at the rate communicated to the customer before confirmation. Surcharges may apply to departures after 5:00 p.m., on Saturdays, Sundays or public holidays. Such surcharges must be disclosed before delivery.

10. Insurance and Transfer of Risk

10.1 Transport Insurance

Transport insurance may be taken out depending on the nature of the shipment, the carrier’s conditions and the arrangements specified in the quotation.

Coverage, exclusions, indemnity limits and required supporting documents depend on the applicable insurance contract.

Where the cost of insurance is not included in the sale price, it will be disclosed to the customer before the order is confirmed.

The customer may request information about the available coverage and, where possible, purchase additional insurance suited to the value and destination of the goods.

For international shipments or high-value products, customers are advised to check the risks covered and indemnity limits carefully before dispatch.

10.2 Transfer of Risk for Consumers

Where the customer is a consumer, the risk of loss of or damage to the goods remains with Restaurant Services Equipment until the consumer, or a third party designated by the consumer other than the carrier proposed by Restaurant Services Equipment, physically takes possession of the goods, in accordance with the applicable legal provisions.

Specific rules may apply where the consumer independently chooses a carrier that was not proposed by Restaurant Services Equipment, under the conditions provided by law.

10.3 Transfer of Risk for Business Customers

For sales to business customers, the risks relating to the goods transfer to the customer when the products are effectively handed over to the carrier, subject to applicable legal provisions and the contractual terms agreed between the parties.

Business customers are advised to check the insurance and goods-acceptance conditions applicable to the selected transport service.

This provision does not reduce any obligations that remain the responsibility of Restaurant Services Equipment under the law or under a separate contractual commitment.

11. Receipt, Reservations and Claims

Upon receipt of the goods, the recipient is advised to check the external condition of the packaging, the number of parcels and, where possible, the apparent condition of the products.

In the event of damage, missing parcels or visible irregularities, the recipient is advised to describe the observed facts precisely on the delivery document and promptly notify Restaurant Services Equipment.

11.1 Making Specific Reservations

Reservations must describe the damage or irregularities actually observed at the time of delivery.

General statements such as “subject to inspection”, “subject to unpacking” or “damage to be checked” do not replace a precise description of the facts.

Reservations should specify, in particular:

  1. The nature of the damage: crushed packaging, punctured parcel, wet goods, broken part or other irregularity.

  2. The location and extent of the observed damage.

  3. The products concerned, including their reference numbers where available.

  4. Any missing or damaged quantities.

  5. Any other observation useful for identifying the problem.

Photographs of the packaging, transport labels and product may help facilitate the assessment of the claim.

11.2 Signature and Presence of the Carrier

Where possible, reservations should be recorded on the delivery document and brought to the delivery driver's attention at the time of receipt.

The recipient should retain a copy of the document containing the reservations and any information relevant to the claim.

If the driver refuses to wait for the inspection or unpacking, the recipient may record this fact in the observations section of the delivery document.

Reservations made upon receipt do not replace any formal notifications required by law.

11.3 Reasoned Notice of Protest to the Carrier

For damage and partial loss covered by Article L.133-3 of the French Commercial Code, the recipient must notify the carrier of a reasoned protest within three days following receipt, excluding public holidays. The notification must comply with the formalities required by that provision, including delivery by registered letter or service of an extrajudicial document.

The statutory period must not be described as three business days: public holidays are excluded from the calculation, but Saturdays and Sundays are not automatically excluded. Specific rules may apply to international transport.

Where a consumer personally takes delivery of the transported goods and the carrier cannot demonstrate that the consumer was given an effective opportunity to inspect their condition, the period provided for in Article L.133-3 is extended to ten days under the conditions set out in Article L.224-65 of the French Consumer Code.

These deadlines concern the remedies covered by the aforementioned legal provisions. They must not be confused with all the rights a customer may exercise against the seller in relation to the order, product conformity or applicable statutory warranties.

The protest must be sent to the carrier in the required form. A copy may also be sent to Restaurant Services Equipment to facilitate the handling of the case.

Customers are advised to retain:

  • The delivery note and any reservations recorded.

  • Photographs of the damage and packaging.

  • Transport documents.

  • A copy of the protest sent to the carrier.

  • Correspondence with the carrier and insurer, where applicable.

Consumers retain the rights granted to them under the mandatory provisions of the French Consumer Code and the general terms and conditions of sale.

12. Packaging and Packing

Restaurant Services Equipment adapts packaging to the nature of the product, its weight, dimensions and transport requirements.

Depending on the characteristics of the goods, packaging may include:

  • Standard packaging suitable for the product.

  • Reinforced protection.

  • Packaging on a wooden or plastic pallet.

  • Protective film and securing devices.

  • A wooden crate or other specialised packaging where necessary.

Where wooden crates are used for shipments subject to phytosanitary requirements, the applicable rules must be observed, including the international standard ISPM 15 where required.

Special packaging charges will be communicated to the customer before confirmation if they are not included in the sale price.

The recipient is advised to retain the packaging until the condition of the product has been checked and it has been established that no transport-related claim is necessary.

13. Shipment Tracking

13.1 Standard Parcels

Where the carrier provides a tracking number, Restaurant Services Equipment will communicate it to the customer or provide the information required to track the parcel.

Tracking information is updated according to the operation of the carrier’s tracking system.

13.2 Heavy and Bulky Products

For heavy, bulky or palletised products, Restaurant Services Equipment will communicate the available information regarding collection by the carrier and the estimated delivery date.

Where delivery is arranged by appointment, the customer must remain contactable to facilitate coordination with the carrier.

The delivery times communicated remain subject to actual transport conditions and any logistical constraints.

14. Delays, Inability to Deliver and Force Majeure

Restaurant Services Equipment will take the necessary steps to organise dispatch and delivery under the stated conditions.

Delays or delivery difficulties may arise, in particular, from:

  • An event meeting the legal criteria for force majeure.

  • An incomplete or incorrect address.

  • The recipient's absence.

  • Inaccessible or unsuitable delivery premises.

  • Refusal to accept the goods.

  • A legal restriction, embargo or customs hold.

  • Failure to pay or failure to comply with the agreed collection arrangements.

  • Carrier unavailability or a logistical difficulty affecting transportation.

Where these circumstances affect delivery, Restaurant Services Equipment will inform the customer as soon as reasonably possible of the known circumstances and potential solutions.

The consequences of a delay, inability to deliver or force majeure event will be assessed in accordance with the applicable legal provisions and the contractual commitments agreed between the parties.

This section does not deprive consumers of the rights granted to them by law, particularly concerning delivery deadlines, termination of the contract or refunds where the legal requirements are met.

For the express service, the three-hour deadline constitutes a commitment where the service has been accepted and confirmed under the conditions set out in Section 3. Only an event of force majeure meeting the applicable legal requirements may justify an exception to this commitment.
